1. Agreement and related documents

These Terms & Conditions ("Terms") govern your access to and use of websites, applications, accounts, and eSIM-related services offered by eSIMNIO ("we," "us," or "our"). By creating an account, making a purchase, downloading or activating an eSIM, or otherwise using our services, you agree to these Terms.

Our Privacy Policy explains how we collect and use personal data. Our Refund Policy describes when you may qualify for a refund. Those documents form part of your agreement with us where referenced.

2. Eligibility

You must be at least the age of digital consent in your jurisdiction (typically 16 or 18) and have the legal capacity to enter a binding contract. If you use our services on behalf of a business, you represent that you are authorized to bind that organization to these Terms.

3. Description of services

We provide prepaid or subscription-style eSIM data plans and related digital services for compatible devices. Connectivity is delivered via mobile network operators and eSIM technology partners. Plans, coverage, speeds, and fair-use rules are described at the point of purchase and may vary by destination and network conditions. We may modify, suspend, or discontinue features where necessary for legal, security, or commercial reasons; if that materially affects an active paid service, remedies may be limited to what we state in our Refund Policy or applicable law.

4. Account registration and security

You may need an account to purchase or manage plans. You agree to provide accurate information and keep it updated. You are responsible for safeguarding your login credentials and for activity under your account. Accounts are personal unless we expressly agree otherwise in writing. We may suspend or terminate accounts that pose security risks, involve fraud or abuse, or breach these Terms.

5. Orders, pricing, and payment

Prices, currencies, taxes, and fees are shown before you complete checkout and may change over time for new purchases. You authorize us and our payment processors to charge your selected payment method for the amounts shown. You are responsible for any taxes or telecommunications charges imposed on your purchase or use where applicable. Failed or reversed payments may result in cancellation or suspension of the related order or service.

6. eSIM plans, activation, and validity

After purchase, you will receive instructions to install and activate your eSIM (for example, a QR code or in-app flow). Activation steps, plan duration, data allowances, and any "validity" or "start" rules are disclosed before purchase and in order communications. You are responsible for completing installation correctly and before any stated expiry of installation credentials where applicable.

Service quality (including speed, latency, and coverage) depends on roaming partners, local networks, device settings, and congestion. We do not guarantee a minimum speed, uninterrupted service, or coverage in all locations within a listed country or region.

7. Device compatibility and your responsibilities

You must use an eSIM-compatible, carrier-unlocked device that supports the bands and features required for your plan. It is your responsibility to verify compatibility before purchase. Misuse of services (for example, operating servers, resale of connectivity in breach of our terms, or circumventing fair-use limits where stated) may result in throttling, suspension, or termination without refund, as permitted by law and our Refund Policy.

8. Acceptable use

You agree not to:

• Violate applicable laws or third-party rights;
• Attempt to gain unauthorized access to our systems, other users' accounts, or partner networks;
• Use our services to send spam, malware, or unlawful content, or to interfere with network integrity;
• Misrepresent your identity or affiliation, or use another person's payment method without permission;
• Reverse engineer, scrape, or overload our websites or APIs except as allowed by law;
• Circumvent technical limits, usage caps, or geographic restrictions we apply in good faith.

9. Intellectual property

Our websites, apps, branding, and content are owned by us or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use them for personal or internal business use in connection with our services. Except as permitted by law, you may not copy, modify, distribute, or create derivative works without our prior written consent.

10. Third-party networks and services

eSIM connectivity depends on third-party mobile operators and infrastructure providers. Their terms, technical requirements, and outages may affect your experience. We are not responsible for third-party products, websites, or services you access outside our platform.

11. Refunds

Refunds are only available in the circumstances and subject to the process described in our Refund Policy. Purchases made through resellers or third-party platforms may be subject to that party's refund rules instead.

12. Disclaimers

To the fullest extent permitted by law, our services are provided on an "as is" and "as available" basis. We disclaim all warranties, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable mandatory consumer protection law.

13. Limitation of liability

To the fullest extent permitted by law, we and our affiliates, directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunities, arising from your use of our services or reliance on network availability. Our aggregate liability for any claim relating to a given order or subscription period is limited to the amount you paid us for that order or the current subscription period, except where mandatory law requires otherwise.

14. Indemnity

You will defend, indemnify, and hold harmless eSIMNIO and its affiliates from claims, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of the services, breach of these Terms, violation of law, or infringement of third-party rights, to the extent permitted by applicable law.

15. Suspension and termination

We may suspend or terminate access to our services where we reasonably believe it is necessary for security, fraud prevention, legal compliance, or breach of these Terms. You may stop using our services at any time; closing your account may require contacting support. Provisions that by their nature should survive (including payment obligations accrued, intellectual property, disclaimers, limitation of liability, and indemnity) will survive termination.

16. Changes to these Terms

We may update these Terms to reflect changes in law, our services, or business practices. We will post the revised version on this page and update the "Last updated" date. If a change materially affects your rights, we will provide additional notice where appropriate (for example, by email or an on-site notice). Continued use after the effective date constitutes acceptance of the updated Terms, except where mandatory law requires your explicit consent.

17. Governing law

Unless mandatory consumer protection laws in your country of residence require otherwise, these Terms are governed by the laws of the United States, without regard to conflict-of-law principles. Courts with competent jurisdiction under those laws may hear disputes, subject to any rights you cannot waive under local mandatory law.

18. General

If any provision of these Terms is held invalid, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the policies linked above, constitute the entire agreement between you and us regarding the subject matter.
